1. Acceptance of Terms

By accessing or using TSXInsider.com (the “Site”) or any of our services, you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Site.

These Terms apply to all visitors, subscribers, and users of the Site. We reserve the right to update these Terms at any time. Continued use of the Site after changes constitutes acceptance of the updated Terms.

2. Description of Service

TSXInsider.com provides a subscription-based platform that aggregates, filters, and displays Canadian insider trading data sourced from SEDI (System for Electronic Disclosure by Insiders) — Canada’s official insider reporting database.

Our service includes:

• Daily insider trade data filtered for open market purchases
• Signal classification (Notable, Significant, Cluster, Repeat Buys, CEO & CFO)
• Individual company pages with trade history
• Premium pages including CEO & CFO, Cluster Buys, and Repeat Buys
• Daily pre-market Insider Trading Report email
• Table exports in CSV, Excel, and PDF formats

All data and content on TSXInsider.com is provided for informational purposes only. Nothing on this Site constitutes financial advice, investment advice, trading advice, or any other type of advice.

TSXInsider.com does not recommend or endorse any specific stocks, securities, or investment strategies. Past insider buying activity is not indicative of future stock performance.

You acknowledge that:

• Investing in stocks carries inherent risk, including the risk of loss of principal
• SEDI data may contain errors, delays, or omissions beyond our control
• Insider purchases do not guarantee future stock price appreciation
• You are solely responsible for your own investment decisions

4. Data Sources & Accuracy

Trade data is sourced directly from SEDI, Canada’s official government insider reporting system. While we make every reasonable effort to present accurate and timely data, we cannot guarantee the accuracy, completeness, or timeliness of information presented on the Site.

Insiders are legally required to report trades within prescribed timeframes, but reporting errors, amendments, and delays occur regularly and are outside our control. TSXInsider.com is not responsible for errors or omissions in the underlying SEDI data.

5. Subscriptions & Billing

Subscription: TSX Insider Pro is billed annually at $199 USD/year. Full access begins immediately upon subscribing. Your subscription automatically renews each year unless cancelled.

Cancellation: You may cancel your subscription at any time from your account dashboard. Cancellation takes effect at the end of your current billing period. We do not provide refunds for early cancellation — your access continues through the end of the term you paid for.

Payment Processing: All payments are processed securely by Stripe. TSXInsider.com does not store your credit card information.

Price Changes: We reserve the right to change subscription pricing with reasonable notice. Price changes will be communicated by email and will apply at your next renewal.

6. Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials. You agree not to share your account with others.

Your subscription is for personal use only. Redistribution, resale, or commercial use of any data or content from TSXInsider.com without written permission is strictly prohibited.

We reserve the right to terminate accounts that violate these Terms.

7. Intellectual Property

All content on TSXInsider.com — including but not limited to signal classifications, page designs, written content, and compiled trade data — is the property of TSX Insider and is protected by applicable copyright and intellectual property laws.

SEDI filing data is sourced from Canada’s public government database. Our presentation, filtering, classification, and analysis of that data is original work and proprietary to TSXInsider.com.

You may not reproduce, distribute, or create derivative works from our content without express written permission.

8. Limitation of Liability

To the maximum extent permitted by applicable law, TSXInsider.com, its operators, affiliates, and employees shall not be liable for any direct, indirect, incidental, special, or consequential damages arising from your use of the Site or reliance on any data or content presented.

This includes but is not limited to investment losses, lost profits, or damages resulting from errors or omissions in the data.

9. Third-Party Services

The Site uses third-party services including Stripe (payment processing) and Google Analytics (website analytics). Your use of the Site is subject to those services’ respective terms and privacy policies.

We are not responsible for the practices or content of any third-party services linked from or integrated into the Site.

10. Institutional & API License Terms

This section applies to clients who access TSXInsider data via API under an institutional or commercial license agreement. In the event of any conflict between this section and the general Terms above, this section governs for API clients.

10.1 Permitted Use. Data provided under an institutional API license may be used as a derived input to a proprietary quantitative model, ranking engine, or internal research workflow. Display of raw SEDI trade records as a directly accessible data product to end users is not permitted under this license.

10.2 No Redistribution. Raw trade data, API responses, or direct extracts from the TSXInsider dataset may not be redistributed, resold, sublicensed, or transferred to any third party in any form without prior written consent from TSXInsider.com.

10.3 API Credentials. API credentials are issued to the subscribing entity only and are strictly non-transferable. Sharing of API keys or credentials with any third party is not permitted and may result in immediate termination of access.

10.4 Payment Terms. All institutional fees are denominated in USD and are due in full prior to or upon delivery of data, as agreed in the applicable proposal. Annual subscription fees are non-refundable. Historical backfill fees are one-time and non-refundable upon delivery. Payment is by wire transfer.

10.5 Data Provided As-Is. All data is sourced from SEDI, Canada’s official insider reporting database, which is based on mandatory regulatory filings. TSXInsider.com makes reasonable efforts to ensure accuracy and completeness but cannot guarantee the timeliness or accuracy of underlying filings, which are outside our control. Data is provided for informational and modelling purposes only and does not constitute financial advice. TSXInsider.com accepts no liability for investment or business decisions made using this data.

10.6 Title Enrichment. Where indicated, insider job titles have been researched and enriched beyond raw SEDI disclosure codes. For historical backfill periods prior to January 2025, title enrichment is provided on a best-effort basis. SEDI role codes are used as fallback where title research is inconclusive. No warranty is made as to the accuracy of enriched titles.

11. Governing Law

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law provisions. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Texas.
